Shaplika is a digital products marketplace that enables creators (“Sellers”) to sell and users (“Buyers”) to purchase downloadable or access-based digital products.

These Terms and Conditions (“Terms“) govern your access to and use of www.shaplika.com, including all subdomains, services, tools, dashboards, and features (collectively, the “Platform”).

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not use the Platform.

5. Nature of the Platform

Shaplika is a technology platform and facilitator only.

  • Shaplika does not own Seller products
  • Shaplika does not guarantee quality, legality, or fitness of digital products
  • All sales contracts are directly between Buyer and Seller

Shaplika is not a party to disputes between Buyers and Sellers, except as required by law.

6. Digital Products

6.1 Product Nature

Digital products may include:

  • eBooks, PDFs, templates
  • Software, scripts, source files
  • Courses, videos, audio
  • Licenses, access keys

Delivery occurs electronically (download or access).

6.2 No Physical Delivery

No physical goods are sold on Shaplika.

7. Payments (EPS – Electronic Payment Systems)

Payments are processed via third-party Electronic Payment Systems (EPS), including but not limited to:

  • Mobile Financial Services (bKash, Nagad, Rocket)
  • Payment gateways (e.g., SSLCommerz)
  • Debit / Credit Cards

Shaplika does not store sensitive payment credentials. All transactions are governed by the payment provider’s terms.

8. Refund & Cancellation Policy

8.1 Digital Nature

Due to the instant and non-returnable nature of digital products:

  • No refunds are provided once a product is downloaded or accessed
  • Accidental purchases are not refundable

8.2 Exceptions

Refunds may be considered only if:

  • The file is corrupted and cannot be delivered
  • Duplicate payment occurs
  • Required by Bangladeshi consumer protection law

All refund decisions are final.

9. Seller Responsibilities

Sellers agree to:

  • Own or legally license all uploaded content
  • Ensure products do not violate copyright, trademark, or law
  • Provide accurate product descriptions
  • Not upload illegal, harmful, or misleading material

Shaplika reserves the right to remove Seller content or suspend Seller accounts without notice.

10. Intellectual Property

All Platform design, logos, software, and trademarks belong to Shaplika.

Sellers retain ownership of their content but grant Shaplika a non-exclusive, royalty-free license to host, display, and distribute content for marketplace operations.

Buyers receive only the usage rights specified in the product description—not ownership.

11. Prohibited Activities

You must not:

  • Upload pirated or stolen content
  • Circumvent security or DRM
  • Share paid digital products publicly
  • Use the Platform for fraud, money laundering, or illegal activities
  • Upload content prohibited under Bangladeshi law

Violations may result in permanent termination and legal action.

12. User Content & Reviews

By submitting reviews, comments, or content, you grant Shaplika the right to use and display such content for Platform operations and promotion.

Shaplika may remove any content deemed misleading, abusive, or unlawful.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Shaplika is not liable for indirect, incidental, or consequential damages
  • Shaplika is not responsible for Seller performance or product outcomes
  • Use of the Platform is at your own risk

14. Indemnity

You agree to indemnify and hold harmless Shaplika, its owners, employees, and partners from any claims arising from:

  • Misuse of the Platform
  • Violation of these Terms
  • Infringement of third-party rights

15. Suspension & Termination

Shaplika may terminate access immediately if:

  • Fraud or abuse is detected
  • Legal compliance requires it
  • Platform integrity is threatened

Termination does not affect completed transactions.

16. Amendments

Shaplika may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the People’s Republic of Bangladesh.

All disputes shall be subject to the exclusive jurisdiction of courts located in Dhaka, Bangladesh.
